QUALIFICATIONS AND JOB DESCRIPTION
We seek for “LEGAL GENERAL COUNSEL & INTEGRITY (COMPLIANCE) OFFICER” who will be able to demonstrate knowledge in ABB in Kartal location in Istanbul with below qualifications;
- University degree in Law,
- A practicing lawyer with at least 8 years’ working experience in a major corporation or in a leading law firm,
- Good level of knowledge in fields of corporate law, commercial law, civil law, labour law, M&A, antitrust law, public procurement law, administrative law and litigation,
- Fluent English and Turkish is a must,
- Excellent analytical skills with an ability to identify and appreciate the significance of legal and integrity issues, recognize legal and reputational risk and develop cost effective legal and business resolutions,
- Self-motivated and being able to work autonomously in a demanding commercial environment,
- Good interpersonal and communication skills and being able to work effectively with business clients and internal and external stakeholders,
- Exposure in international legal environment,
- Military service completed for male applicants.
İŞ TANIMI
The candidate will be responsible for;
- Ensure all legal entities of ABB in Turkey meet ABB Group and local law requirements
- Develop close working relationships with key stakeholders and taking a proactive approach in supporting the management of legal and integrity risks
- Perceive the impact on the business deriving from the changes in law and recommend the appropriate changes/actions to the management
- Participate and give assistance in Corporate matters (Board of Directors, Shareholder’s Meetings, M&A)
- Assist in criminal law issues and critical issues
- Support in achieving legal, governance and integrity objectives through implementing local law requirements and Group policies
- Review bids, negotiations, contracts, policies and other legal documents from vendors, customers and other third parties ensuring compliance with local law requirements and Group policies
- Budgeting the function costs and ensure the respect of the budget
- Support business units in managing contractual claims
- Participate in and promote activities to ensure employees conduct business with integrity in accordance to the organization code of conduct, Group directives and local laws
- Support the development of local policies, procedures and integrity frameworks to promote risk and integrity management
- Provide training to employees on contractual and integrity matters
- Raise and defend litigation matters brought against the company using relevant external experts
- Ensure that all external legal advice is provided in a cost effective way including managing the outsourcing of that work
- Develop and deliver a Country Annual Integrity Training Plan incorporate of the Group Annual Integrity Training Plan
- Administrate Export Control, including compliance with Group regulations
