QUALIFICATIONS AND JOB DESCRIPTION

We are looking for an M&A Lawyer to be assigned at our headquarters in Maslak, Istanbul.
Qualifications:
- Bachelor’s degree in law; master’s degree in law is a plus
- 2-4 years of experience (excluding internship) as an in-house practitioner or in a law firm
- Experience in the field of commercial law
- Experience in an international working environment is preferred
- Knowledge of mergers & acquisitions is a must
- Experience in fertilizer, mining, chromium, and coal sectors
- English (full professional proficiency at least)
- No travel restrictions, for both national and international travels
Requirements:
- As per directives of the Counsel, draft, review, revise, and negotiate the required agreements (including but not limited to non-disclosure agreements, letters of intent, sale and purchase agreements, lease agreements, service agreements, and subcontracting agreements), and draft the required legal documentation in order for the said agreement to be signed (board resolutions, letter of acquittance, etc.), and closing of the said transactions
- Conduct and manage legal due diligence processes conducted where the purchase of assets, especially in the sectors of fertilizer, mining, chromium, and coal (in whole or in part) by the Group or where the sale of assets, especially in the sectors of fertilizer, mining, chromium, and coal (in whole or in part) by the Group in coordination with the external legal counsel as per the Counsel’s directives, and analyze the established legal risks and report them to the Counsel
- In order to close the aforementioned transactions, obtain the required permissions, licenses, and permits from domestic and foreign authorities including but not limited to competition authorities and mining authorities in accordance with the domestic and foreign legislation, and report them to the Counsel, and manage, follow and close the whole process with the said authorities
- Provide legal assistance to the questions regarding the daily operations of the Group’s mining, chromium, fertilizer, and coal assets, and review contracts and report them to the Counsel
- Business conditions may require reasonable accommodations for additional tasks and responsibilities, including but not limited to tasks regarding employment law or relevant disputes
- Manage record-keeping and reporting of all communication, lawsuits, documentation, negotiations, and agreements
- Attend and record general assemblies and board meetings of the Group’s mining, chromium, fertilizer, and coal assets; draft the agenda and the minute and keep relevant corporate documentation
