We are looking for an M&A Legal Manager to be assigned at our headquarters in Maslak, Istanbul, for CoreX Holding.

Qualifications:

• Bachelor's degree in Law; LL.M. preferred.
• Minimum of 8 years of post-qualification experience in M&A, corporate law, private equity, venture capital or complex commercial transactions.
• Strong experience in leading and negotiating sophisticated M&A transactions.
• Hands-on experience with legal due diligence and transaction management.
• Excellent knowledge of Turkish corporate and commercial law with significant experience in managing cross-border transactions.
• Fluent in English with exceptional drafting and negotiation skills.
• Strong commercial awareness and the ability to provide practical, business-oriented legal advice.
• Excellent communication, stakeholder management, and project management skills.
• Ability to manage multiple high-priority projects in a fast-paced environment.

Responsibilities:

• Lead the legal execution of mergers, acquisitions, investments, divestitures and joint venture transactions.
• Manage and coordinate legal due diligence processes, identify legal risks and recommend practical risk mitigation strategies.
• Negotiate, manage, and finalize transaction documentation, including Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), Investment Agreements and Joint Venture Agreements.
• Provide legal support throughout the transaction lifecycle from structuring and execution to post-closing integration.
• Advise senior management on legal, regulatory and commercial risks associated with strategic transactions.
• Monitor changes in relevant legislation and assess their impact on the Group's business and transactions.
